Terms of Service

Terms governing access to Luxminex, acceptable use, confidentiality expectations, subscriptions, and workspace responsibilities.

1. Agreement to these Terms

These Terms of Service govern your access to and use of Luxminex, a platform for confidential transaction collaboration, organization workspaces, deal management, document exchange, and related communication features.

By accessing or using Luxminex, you agree to these Terms. If you use Luxminex on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not use the platform.

2. Platform purpose

Luxminex provides digital infrastructure for managing confidential collaboration workflows. The platform may include organization workspaces, deal workspaces, participant invitations, document storage, messaging, partner directory functionality, audit visibility, subscription management, and administrative controls.

Luxminex is not a law firm, financial advisor, broker, escrow provider, payment intermediary, investment advisor, or regulated transaction intermediary. Users remain responsible for their own legal, financial, regulatory, tax, and professional obligations.

3. Accounts and organization access

  • You must provide accurate account information and keep it up to date.
  • You are responsible for maintaining the confidentiality of your login credentials and MFA devices.
  • You must not share passwords, recovery links, authentication tokens, or session access with unauthorized parties.
  • Organization administrators are responsible for managing members, invitations, roles, and access permissions inside their organizations.
  • Luxminex may suspend or restrict accounts that appear compromised, abusive, fraudulent, or in violation of these Terms.

4. Confidentiality and workspace responsibility

Luxminex is designed for confidential collaboration, but users and organizations remain responsible for deciding what information they upload, share, disclose, or make available to others.

Users must only access, use, download, or disclose workspace content where they are authorized to do so. Sensitive information must remain within authorized workspaces and must not be shared outside the platform unless permitted by the relevant organization, deal owner, contract, or applicable law.

These Terms do not automatically replace a separate non-disclosure agreement, engagement letter, professional services agreement, or other contract between users, organizations, clients, advisors, or transaction participants.

5. User content

You retain ownership of content you upload or submit to Luxminex, including deal information, documents, messages, metadata, organization information, and profile data.

By using Luxminex, you grant us a limited right to store, process, transmit, display, and secure your content solely as necessary to provide, maintain, protect, and improve the platform.

You represent that you have the necessary rights and permissions to upload and share content through Luxminex.

6. Acceptable use

You must not use Luxminex to:

  • violate applicable law, regulation, contractual obligations, or third-party rights;
  • upload malware, malicious scripts, or intentionally harmful content;
  • attempt to bypass authentication, authorization, tenant isolation, rate limits, or security controls;
  • perform credential stuffing, scraping, automated abuse, account enumeration, or denial-of-service activity;
  • misrepresent identity, professional standing, company affiliation, qualifications, or authority;
  • exfiltrate, disclose, or misuse confidential workspace data without authorization;
  • interfere with the reliability, integrity, or security of the platform.

7. Subscriptions, plans, and billing

Luxminex may offer free and paid plans with different limits, features, storage allowances, audit retention, partner directory access, and administrative capabilities.

Paid subscriptions are purchased through backend-created payment requests. The checkout flow requires explicit acceptance of the Public Offer, these Terms, and the Privacy Policy before redirecting to Robokassa.

Plan limits, pricing, included features, and billing periods may change over time. Payment details, refund rules, and activation conditions are primarily governed by the Public Offer. Subscription activation occurs only after Luxminex verifies the Robokassa server callback.

Unless otherwise agreed in writing or required by applicable law, used subscription periods are non-refundable.

8. Partner directory and verified profiles

Luxminex may provide a verified partner directory or similar functionality to help eligible organizations discover external professionals. Verification does not guarantee professional performance, legal compliance, financial standing, or suitability for any specific transaction.

Organizations are responsible for conducting their own due diligence before engaging any partner, advisor, consultant, broker, or professional.

9. Security controls

Luxminex applies security controls designed to protect accounts, sessions, organizations, workspaces, documents, and administrative operations. These may include email verification, password requirements, session controls, audit records, access permissions, and optional multi-factor authentication.

No online service can guarantee absolute security. You must promptly notify us at support@luxminex.com if you suspect unauthorized access, account compromise, data exposure, or security abuse.

10. Service availability

We aim to provide a reliable service, but we do not guarantee uninterrupted, error-free, or permanently available access. The platform may be unavailable due to maintenance, updates, provider outages, security incidents, infrastructure failures, or events outside our control.

We may modify, suspend, or discontinue specific features when necessary for security, reliability, compliance, or product development.

11. Third-party services

Luxminex may rely on third-party providers for hosting, infrastructure, object storage, email delivery, analytics, security, billing, or other operational services. We are not responsible for third-party service interruptions, but we use reasonable efforts to select providers appropriate for the platform.

12. Beta and early-access features

Some features may be released as beta, preview, pilot, or early-access functionality. Such features may change, contain defects, be limited in availability, or be discontinued.

13. Limitation of liability

To the maximum extent permitted by applicable law, Luxminex is provided on an "as is" and "as available" basis. Luxminex is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of business opportunity, loss of goodwill, or loss of data, except where such limitation is prohibited by law.

Users and organizations remain responsible for transaction decisions, professional advice, legal compliance, regulatory obligations, and business outcomes.

14. Termination

You may stop using Luxminex at any time. Organization administrators may request account, organization, or workspace closure subject to legal, contractual, billing, security, and audit retention obligations.

We may suspend or terminate access if we reasonably believe there has been a violation of these Terms, abuse of the platform, non-payment, legal risk, or security risk.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated through the platform, by email, or through another reasonable method. Continued use of Luxminex after changes take effect means you accept the updated Terms.
